These Terms and Conditions ("Terms") govern your access to and use of the ChiroMedia website located at chiromedia.app and the ChiroMedia Amazon Fire TV application (collectively, the "Platform"), operated by ChiroMedia ("ChiroMedia," "we," "us," or "our").
By accessing the Platform, creating an account, starting a free trial, or subscribing to any plan, you ("Subscriber," "Channel Provider," or "you") agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
ChiroMedia is a cloud-based patient education and digital signage platform designed for chiropractic practices and affiliated professional organizations. The Platform enables subscribers to:
Stream and schedule patient education content on Amazon Fire TV devices
Build and manage custom playlists and content schedules via a web-based dashboard
Access content from the ChiroMedia marketplace, including channels from colleges, associations, and independent educators
Upload original content to their account for display on subscribed devices
Use Presenter Mode for in-office presentations, workshops, and community events
Manage content across multiple locations and devices from a single account
The Platform requires a compatible Amazon Fire TV device (sold separately) and an active internet connection for content syncing. Once synced, content plays locally on the device without requiring a continuous internet connection.
To use the Platform, you must be at least 18 years of age and capable of forming a legally binding contract. The Platform is intended for use by chiropractic professionals, healthcare business operators, and professional organizations within the chiropractic industry.
When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.
ChiroMedia reserves the right to refuse service, terminate accounts, or remove content at its sole discretion.
ChiroMedia offers a free trial period of fourteen (14) days from the date of account creation. During the trial, you have access to the full Platform. A valid payment method may be required to start a trial.
If you do not cancel before the end of the trial period, your selected subscription plan will automatically activate and you will be charged the applicable fee. You may cancel at any time during the trial without charge by contacting us or through your account dashboard.
Plans and Pricing: ChiroMedia offers subscription plans priced on a per-device, per-month basis. Current pricing is available at chiromedia.app/pricing. Pricing is subject to change with reasonable advance notice to active subscribers.
Billing Cycle: Subscriptions are billed on a monthly recurring basis beginning on the date your trial converts to a paid plan, or the date you subscribe if no trial is used. All fees are in US dollars unless otherwise stated.
Volume Pricing: Discounted per-device rates apply as subscribers add additional devices. Volume discount tiers are described on the Pricing page and apply automatically based on total device count on your account.
Payment: All payments are processed through our third-party payment processor. By providing payment information, you authorize ChiroMedia to charge the applicable subscription fees to your payment method on a recurring basis until you cancel.
Taxes: Subscription fees do not include applicable taxes. You are responsible for all taxes, duties, or levies arising from your use of the Platform as required by applicable law.
Failed Payments: If a payment fails, we will notify you and may suspend access to your account until payment is received. ChiroMedia reserves the right to terminate accounts with extended unpaid balances.
Add-Ons: Additional services (extra devices, additional locations, premium channel subscriptions, or custom content production) may be available at additional cost. Terms for add-ons are described at the point of purchase.
Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform through the end of the paid period.
Refunds: ChiroMedia does not provide refunds for partial billing periods or unused subscription time, except where required by applicable law. If you believe you have been charged in error, contact us within 30 days of the charge and we will investigate.
Free Trial Cancellation: Canceling during the free trial period results in no charge. Access to the Platform ends immediately upon trial cancellation unless you choose to subscribe.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Platform in any way that violates applicable local, provincial, national, or international law or regulation
Upload, transmit, or display content that is defamatory, obscene, abusive, threatening, harassing, fraudulent, or otherwise objectionable
Upload content that infringes the intellectual property rights, privacy rights, or other rights of any third party
Make clinical claims, diagnoses, or treatment representations that violate applicable healthcare regulations or scope-of-practice standards in your jurisdiction
Attempt to reverse engineer, decompile, or disassemble any portion of the Platform
Use automated tools, bots, or scripts to access or scrape the Platform without prior written consent
Share account credentials with unauthorized third parties or use your account to provide access to individuals not covered by your subscription
Interfere with or disrupt the integrity or performance of the Platform or its associated infrastructure
Use the Platform to promote or distribute competing services without our prior written approval
ChiroMedia reserves the right to suspend or terminate accounts that violate these Acceptable Use standards without prior notice and without refund.
Your Content: You retain ownership of any original content you upload to the Platform ("Your Content"). By uploading content, you grant ChiroMedia a non-exclusive, royalty-free, worldwide license to host, store, transmit, and display Your Content solely for the purpose of operating the Platform and delivering content to your subscribed devices.
Your Responsibility: You are solely responsible for Your Content. You represent and warrant that: (a) you own or have the necessary rights to upload and display Your Content; (b) Your Content does not infringe the intellectual property or other rights of any third party; and (c) Your Content complies with applicable laws, including healthcare advertising and scope-of-practice regulations in your jurisdiction.
ChiroMedia's Right to Remove Content: ChiroMedia reserves the right to review, remove, or disable access to any content that violates these Terms or that we determine, in our sole discretion, to be inappropriate for the Platform.
The Platform, including all software, technology, design, user interface, trademarks, logos, and original content created by ChiroMedia, is the exclusive property of ChiroMedia and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in ChiroMedia's intellectual property beyond the limited license to use the Platform as described herein.
You may not copy, reproduce, modify, distribute, or create derivative works of any portion of the Platform without our prior written consent.
Third-Party Content: The ChiroMedia marketplace contains content channels created and published by independent Channel Providers, including chiropractic colleges, associations, coaching groups, and independent educators. This content is provided by third parties and not created or endorsed by ChiroMedia unless explicitly stated.
No Endorsement: ChiroMedia does not warrant the accuracy, completeness, or clinical validity of any third-party content available through the marketplace. Subscribing to a channel does not constitute ChiroMedia's endorsement of the Channel Provider or its claims.
Channel Subscriptions: Marketplace channel subscriptions may be subject to separate terms set by the Channel Provider. Channel availability and pricing may change at any time. ChiroMedia is not responsible for the discontinuation of any third-party channel.
Channel Providers: If you participate in the Platform as a Channel Provider, additional terms governing content ownership, revenue sharing, and content standards will apply as set forth in the Channel Provider Agreement executed at the time of your onboarding.
ChiroMedia is a technology platform. The content available through the Platform — including content from ChiroMedia, its marketplace, or uploaded by subscribers — is intended for general patient education purposes only. It does not constitute medical advice, diagnosis, or treatment recommendations.
You are solely responsible for ensuring that any content you display in your practice complies with applicable healthcare regulations, advertising standards, scope-of-practice requirements, and professional guidelines in your jurisdiction. ChiroMedia makes no representations regarding the regulatory compliance of any content available on the Platform.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. ChiroMedia does not warrant that the Platform will meet your requirements, that content will always be available, or that defects will be corrected.
ChiroMedia does not guarantee that Amazon Fire TV devices will remain compatible with the Platform. Compatibility with third-party hardware and services is subject to change without notice.
To the fullest extent permitted by applicable law, ChiroMedia, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, arising from your use of or inability to use the Platform, even if ChiroMedia has been advised of the possibility of such damages.
In no event shall ChiroMedia's total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the total subscription fees paid by you to ChiroMedia in the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply only to the extent permitted by law.
You agree to defend, indemnify, and hold harmless ChiroMedia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Platform; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
ChiroMedia may suspend or terminate your access to the Platform at any time, with or without cause, with reasonable notice where practicable. Grounds for termination include, but are not limited to, violation of these Terms, non-payment, or conduct that ChiroMedia determines to be harmful to the Platform, other users, or the chiropractic profession.
Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 7 (Content), 8 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law).
ChiroMedia reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We will make reasonable efforts to notify active subscribers of material changes to the Platform or its features.
We may update these Terms from time to time. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, where appropriate, by direct notice to subscribers via email. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Platform shall first be subject to good-faith negotiation between the parties. If negotiation does not resolve the dispute within thirty (30) days, the parties agree to submit to binding arbitration in accordance with the rules of a mutually agreed arbitral body, with proceedings conducted in English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
Note: If the primary market or incorporation jurisdiction differs from Ontario, this section should be updated accordingly prior to publication.
Entire Agreement: These Terms, together with the Privacy Policy and any Channel Provider Agreement, constitute the entire agreement between you and ChiroMedia with respect to the Platform and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Waiver: ChiroMedia's failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of ChiroMedia's right to enforce it in the future.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ChiroMedia may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.
Force Majeure: ChiroMedia shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, internet outages, third-party service failures, or government actions.
